END USER LICENSE AGREEMENT & ACCEPTABLE USE POLICY

Important – Read Carefully: This agreement is a legal contract between you and Pyne Systems LLC ("Company," "we," "us," or "our") for the PhotoThyme software product ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this agreement. If you do not agree to these terms, do not install or use the Software.

1. GRANT OF LICENSE

Pyne Systems LLC grants you a revocable, non-exclusive, non-transferable, limited right to install and use the Software on up to three (3) devices owned and controlled by you, strictly for the purpose of archiving, processing, and sharing your personal digital photography.

2. UNLICENSED & POST-TRIAL USAGE

If your free trial expires or your term license lapses, the Software will seamlessly transition into an unlicensed state.

3. ACCEPTABLE USE POLICY (AUP)

PhotoThyme relies on synchronized cloud infrastructure to provide features like Web Galleries and the AI Assistant. To ensure the sustainability of these services, you agree to strictly abide by the following restrictions. Zero-Tolerance Violations include:

4. ENFORCEMENT & REVOCATION (THE "BANNED" STATUS)

Pyne Systems LLC reserves the right to monitor basic cloud resource telemetry to ensure compliance. If we determine, at our sole discretion, that your usage violates this Acceptable Use Policy or attempts to circumvent our infrastructure limits, your license key will be permanently revoked and your account will be placed in a BANNED status.

Licenses revoked due to an AUP violation are strictly non-refundable. Upon revocation, the Software will immediately lose access to all cloud features, AI capabilities, and network-dependent tools.

5. MERCHANT OF RECORD

You acknowledge that the financial transaction for the Software was processed by our authorized Merchant of Record (e.g., Stripe). The Merchant of Record is responsible for payment processing, indirect tax collection, and transaction compliance. However, all matters pertaining to the functionality, licensing, support, and liability of the Software itself are strictly between you and Pyne Systems LLC.

6. DATA AND PRIVACY

The Software processes your personal photographs locally on your device. Pyne Systems LLC does not upload or possess your images unless you explicitly utilize features that rely on third-party cloud integrations (e.g., Amazon S3 web galleries). By using these features, you consent to the temporary storage of those specific files on our managed infrastructure. The Software also collects anonymous hardware telemetry and diagnostic logs solely for license validation and technical support.

7. DISCLAIMER OF WARRANTIES ("AS-IS" PROVISION)

The Software is provided to you "as is" and "as available," with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Pyne Systems LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Software.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, in no event will Pyne Systems LLC be liable for any direct, indirect, incidental, special, exemplary, or consequential damages whatsoever (including, but not limited to, loss of use, data, or profits; or loss or corruption of digital photographs or files) however caused and on any theory of liability, whether in contract, strict liability, or tort arising in any way out of the use of or inability to use the Software, even if advised of the possibility of such damage.

9. GOVERNING LAW

This agreement and any dispute or claim arising out of it shall be governed by and construed in accordance with the laws of the State of Florida, USA, without giving effect to any choice or conflict of law provision or rule.
